Terms of Service & School Agreement

For the purposes of this Agreement, the following capitalized terms shall have the meanings ascribed to them below:

GenixPay is an enterprise-grade, cloud-based, multi-tenant School Enterprise Resource Planning (ERP) software system tailored for Indian K-12 schools, CBSE/ICSE institutions, state board academies, and multi-branch school trusts.

Features may vary with the subscription tier and optional add-ons selected. Complete specifications are accessible through GenixPay portal documentation.

By registering for an account or executing a subscription, you represent, warrant, and covenant that:

• Recognized Educational Institution: The Service is exclusively available to recognized educational institutions (schools, colleges, coaching centers, polytechnics, and vocational training institutes).
• Authorized Signatory: The individual registering must be a duly authorized representative of the institution (e.g. Principal, Director, Manager, Owner, or an authorized administrative trustee) holding legal authority to bind the entity.
• Legal Age Capacity: The registrant is at least 18 years of age and competent to enter into binding contracts under Section 11 of the Indian Contract Act, 1872.
• Factual Verification: All institution credentials, contact details, affiliation codes, and GSTIN numbers submitted are true, accurate, and current. Submitting falsified information constitutes an immediate material breach.

• Credential Safeguarding: Securing administrative user credentials (email, master password, 2FA tokens) is entirely your responsibility.
• Account Activity Accountability: You are strictly liable for all actions occurring under your institution’s accounts, whether initiated by authorized staff or unauthorized parties.
• Mandatory Security Incident Reporting: In the event of password compromise, unauthorized portal access, or suspected security breach, you must notify GenixPay immediately at support@gennixpay.com.
• One Institution = One Primary Account: Creating duplicate or split dummy accounts for a single school campus is strictly prohibited. Multi-branch institutions may provision branch accounts under an umbrella master agreement.
• No Account Reselling: Renting, sublicensing, transferring, or reselling login credentials to third-party consultants or external vendors is strictly prohibited.

• 60-Day Advance Revision Notice: Pricing is subject to periodic updates. Existing subscribers will receive at least 60 days advance written notice via registered email and WhatsApp before renewal.
• Renewal Cycle Protection: Price revisions apply strictly to future renewal cycles — fees will never be escalated mid-term during an active billing cycle.
• Currency: All fees are stated and payable exclusively in Indian Rupees (₹ / INR).

• Advance Billing: Subscriptions are invoiced and collected on an annual advance payment basis.
• Accepted Payment Channels: UPI, Net Banking, Credit/Debit Cards, NEFT/RTGS Bank Transfers, and Account Payee Cheques.
• GST Tax Invoicing: An official GST Tax Invoice (GSTIN: 09BOVPY4539L1ZN) is immediately dispatched via email and WhatsApp upon payment clearance. Historical statements remain downloadable in the portal.
• Late Payment & Grace Period: Failure to settle renewals by the expiration date triggers a 7-day grace period. Beyond 7 days, platform access may be placed in read-only mode until dues are settled. Bounced cheques or chargeback reversals attract a ₹500 administrative fee.

• Post-15 Day Policy: Because annual software licenses involve immediate cloud instance provisioning, add-on integrations, and dedicated staff training, subscriptions are non-refundable after 15 calendar days.
• Filing a Claim: Submit your formal refund notice via registered email to support@genixpay.com or via verified WhatsApp to +91 9217370918.
• Settlement Timeline: Approved refunds will be reversed to the original payment instrument within 7 to 10 business days. For NEFT/RTGS payments, authorized bank details and cancelled cheque copy are required.
• Service Downtime Pro-Rata Refunds: In the rare event the Platform experiences material unavailability due solely to GenixPay’s breach, pro-rata service credits or refunds apply as outlined in our SLA (Section 10).

• Limited Operational License: You grant GenixPay a restricted, royalty-free, non-exclusive license solely to host, cache, transmit, and backup School Data strictly for the operation and provision of the software services.
• Strict Prohibition on Commercialization: GenixPay shall NEVER monetize, sell, lease, disclose, market, or use School Data to train public AI models, nor share student records with external advertising vendors.
• Guaranteed Data Portability: Schools can export all databases (student directories, fee books, exam results) in industry-standard CSV and XLSX Excel formats at any time (see Section 16).

The entire GenixPay Platform — including its source code, relational database schema, user interface designs, logos, trade dress, algorithms, APIs, and documentation — is and remains the exclusive intellectual property of GenixPay Technologies.

You agree to use the Platform in good faith and in full compliance with all Indian laws. You explicitly agree NOT to:

• Utilize the Service for any unlawful activity, money laundering, extortion, or unauthorized institutional impersonation.
• Attempt to compromise tenant isolation, access, exfiltrate, or harvest data belonging to other subscriber schools.
• Conduct unannounced vulnerability scans, penetration testing, DDoS attacks, or platform disruption without prior written authorization.
• Distribute malware, trojans, phishing links, unsolicited spam broadcasts, or abusive content through SMS/WhatsApp channels.
• Deliberately inject corrupt data, counterfeit marks, or forged attendance records with fraudulent intent.

Violation of this Acceptable Use Policy provides GenixPay the immediate right to suspend or terminate services without notice under Section 15.

We are committed to delivering enterprise-tier reliability and continuous availability for school administrations.

• Support Desks: Dedicated WhatsApp Helpline (+91 92173 70918), Email Support (support@genixpay.com), and in-portal ticketing.
• Operating Hours: Monday – Saturday, 9:00 AM – 7:00 PM IST (Critical system incidents monitored 24/7).
• SLA Downtime Credit: Should monthly availability sink below 99.5%, subscriber schools receive an automatic pro-rata subscription extension credit (up to a maximum of 30 days per calendar year).

Both parties (GenixPay and the School) covenant to protect all Confidential Information with the same degree of diligence applied to their own trade secrets (and in no case less than reasonable commercial care).

• Confidential Information shall not be disclosed to any third party without express written consent.
• Disclosure is permissible solely where legally compelled by a valid judicial decree or statutory law enforcement order.
• Authorized cloud subprocessors (e.g. AWS hosting, WhatsApp Business API) receive data strictly under non-disclosure obligations.
• This confidentiality obligation survives for 3 years following agreement termination.

Exclusion of Consequential Losses:

Under no circumstance shall GenixPay be liable for indirect, incidental, special, punitive, exemplary, or consequential losses, including but not limited to:

• Loss of institutional revenue, anticipated profits, tuition collections, or goodwill.
• Loss of data beyond the scope of point-in-time automated backup restoration.
• Third-party parent or staff claims against the school administration.
• Cost of procurement of substitute replacement ERP systems.

Statutory Exceptions: This liability cap shall not apply to cases of proven fraud, willful criminal misconduct, gross negligence, or instances where Indian law expressly disallows liability limitation.

Neither party shall be held liable for failure or delay in fulfilling its contractual obligations where such failure results from events beyond reasonable contemplation or control, including:

If a Force Majeure interruption persists continuously for more than 30 consecutive calendar days, either party may terminate this Agreement by written notice without penalty.

• 90-Day Grace Window for Data Export: For a period of 90 calendar days following subscription termination, your data remains safely stored, and comprehensive data export services remain accessible.
• Machine-Readable Formats: Export bundles are delivered in industry-standard CSV and XLSX (Microsoft Excel) formats within 72 hours of formal request.
• Irreversible Deletion: Upon the expiration of the 90-day grace period, all live production database copies and secondary server backups are permanently and irreversibly purged.
• Statutory Tax Archival: Statutory GST invoices and transactional logs are retained in anonymized format for 8 years as mandated under Indian tax law.

Any dispute, controversy, or claim arising out of this Agreement shall be resolved through the following mandatory three-step hierarchy:

Interim Judicial Relief: Notwithstanding the arbitration covenant, either party maintains the right to petition competent courts in Noida for temporary injunctions or urgent equitable relief.

This Agreement, its interpretation, and all relationships between the parties shall be governed exclusively by the laws of the Republic of India, including:

Subject to the arbitration clause in Section 17, the competent civil courts situated at Noida, Uttar Pradesh, India shall possess exclusive territorial and subject-matter jurisdiction.

E. Formal Legal Notices: Formal notices shall be addressed to GenixPay via email (support@genixpay.com) or registered post to: GenixPay , H-74,Sector 63, Noida, Uttar Pradesh 201301, India.

• Material Changes: Material terms revisions will be notified to school administrators at least 60 days in advance via email and official WhatsApp notification.
• Non-Material Changes: Operational and formatting revisions will be posted with 15 days notice alongside the updated "Effective Date" timestamp.
• Right to Opt-Out / Pro-Rata Refund: If you disagree with modified terms, you are entitled to cancel your subscription during the notice window and receive a pro-rata refund for the unexpired billing term.
